1. Acceptance of Terms

These Terms of Service (the “Terms“) govern your access to and use of the website located at https://mshstudios.com (the “Site“) operated by MSH Studios, Inc., a New York corporation (“MSH Studios“, “we“, “us“, or “our“). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Site.

4.3 Feedback

6. Engagement of MSH Studios for Services

Any engagement of MSH Studios for design, development, SEO, automation, or other services is separately governed by a written services agreement executed by both parties (typically via DocuSign), which controls in the event of any conflict with these Terms.

The Site may contain links to third-party websites, applications, or services. We do not control and are not responsible for the content, privacy practices, or actions of any third-party site or service. Your interactions with third-party sites or services are governed by their own terms and privacy policies.

8. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MSH STUDIOS, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU; TO THAT EXTENT, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Richmond County (Staten Island), New York, and you consent to the personal jurisdiction of such courts.

If any provision of these Terms is held unenforceable, the remaining provisions shall continue in full force and effect.
